These terms govern use of the WebDarbin website and platform. A specific Proposal or written agreement governs any paid project, formation coordination, or other client service.
Using the Website
You may use this website for lawful purposes, to learn about WebDarbin, and to submit an inquiry. You may not interfere with service operation, attempt unauthorised access, use another person's account or invitation, upload malicious content, or submit information you are not authorised to share.
Project Builder Submissions
A Project Builder submission is an inquiry and starting brief only. It is not an automatic acceptance of work, a binding quote, a guarantee of availability, or a promise that WebDarbin will undertake a project. We may request more information, decline an inquiry, or propose a different scope.
Business-Launch and US Company Setup
WebDarbin may provide high-level coordination for founders exploring a business launch, including a potential US company formation path. This website and intake do not provide legal, tax, accounting, immigration, banking, investment, or regulated-professional advice. They do not create an attorney-client, accountant-client, agent-client, fiduciary, or similar professional relationship.
Launch-Service Boundaries
Any formation, EIN, registered-agent, compliance, bank, payment-provider, or other third-party step is subject to a separate review, applicable provider terms, required identity verification, and the client's own authorisation. WebDarbin does not promise company-name availability, government filing acceptance, EIN issuance, bank-account approval, payment-platform approval, or any third-party outcome. Do not send identity documents, tax identifiers, bank credentials, or payment-card information through this website unless we provide a specific approved process.
Proposals and Agreements
Scope, pricing, timelines, responsibilities, refunds, ownership, and other commercial terms are governed only by the applicable Proposal and written project agreement. Until those are accepted, WebDarbin has no obligation to begin work, submit a filing, or make a payment on your behalf.
Client-Supplied Materials
You are responsible for having the right to provide materials, content, images, data, and instructions you submit. You remain responsible for the accuracy of business information and for decisions you make based on information from government agencies, banks, payment platforms, advisers, or other third parties.
Client Workspace Access
Client workspace access is personal to the authorised recipient. Keep invitations, login links, and credentials private. Tell us promptly if you believe access has been misused or compromised.
Intellectual Property
WebDarbin owns or licenses the public website, its design, code, text, and branding unless stated otherwise. Project-specific ownership, licences, and handover rights are governed by the applicable agreement.
Third-Party Services
The service may rely on hosting, storage, email, formation, registered-agent, banking, payment, and other third-party providers. Their availability, review decisions, prices, and terms may affect parts of a project or launch path. WebDarbin is not responsible for a third party's independent acts, omissions, or decisions.
Disclaimers and Limitations
The website and general information are provided on an as-available basis. To the extent permitted by applicable law, WebDarbin is not responsible for losses caused by reliance on general website information or interruptions outside its reasonable control. Nothing in these terms limits rights that cannot be limited under applicable law.
Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before starting a formal dispute, you and WebDarbin agree to try in good faith to resolve it informally. If a dispute cannot be resolved informally, it must be brought exclusively in the state courts located in Laramie County, Wyoming, or the United States District Court for the District of Wyoming, unless applicable law requires a different forum.

We may update these terms as the website and platform change. The version published on this page is the current version.
